I will assume your rig meets the minimum requirements to run this. Steam should be able to ID what config will work best on your rig, so you should not have too big an issue fixing this.
Your first step is checking your graphics drivers, update or reinstall.
Next, in steam go to your library, right click on your title and select "properties". Select local files and then select "verify integrity of game folder". Let this run.
If upon verification your title still won't work, select "browse local files" in the previous folder and locate this programs ".exe".
Right-click and select properties, then click the compatibility tab.
Select the box the says "run this program in compatibility mode for:" and then select Windows 7.
If none of the above steps work you may have a larger issue going on.

Game crashes on start up. it can not create a file named "Rendersettings.ini" if you create it manually it will interact with it (for exemple changing the resolution will be noticeable just before it crashes )

change those renders, set vsync to false, save it as rendersettings.ini and drop her in place. I don't know the max resolution, heck, I didn't even see a place to change in game settings.

tried everything on the thread now, nothing works, i'd be happy to set up teamviewer. raising bounty to 30$
try installing on a USB and see if it works on there and make sure your system is fully up to date with no firewall blocking the program

This usually does the trick, I have never encountered an launch error witch wasn't directly connected with one of the M$frameworks.
There is a slim chance that you will never be able to play this game with the current rig, tho. (you actually never provided us with your exact specs)
My last advice, install OPEN AL.

Things i've tried but dosen't work.
1: Changed Audio settings.
2: Rebooted Windows
3: Run as Admin.
4: Generate the "Rendersetting.ini"
5: Install on C
6: try different "launch options" such as "Windows XP service pack3" etc.

try to launch the game as administrator (right click run as adm.), if it doesn't work, try with different compatibility and if active, deactivate windows aero.

Check and see if you have a RenderSettings.ini file in %UserName%\Documents\My Games\Dead Rising 2 Off the Record. If you DON'T, you will need to generate it manually.

I've done some more testing. i installed Dead rising 2. exact same problem (thery're 90% the same game)
i also installed Dead rising 1 and it worked great!
still no luck in getting Dead rising off the record to work yet..
just to be clear, the game is from steam, i do not want a working crack with offline mode, i want it from my steam so i can play online.

First try that method above, if this fails-> make sure you have framework 3.5, xna framework 4, .net framework 4, visual C++ 2005, 2008 and 2010 installed(12,13,17 maybe necessary as well, depends of your OS). Looks like memory allocation error so make sure you have all the dependencies in place (check game folders for those). Disable firewall and antivirus(just in case).
