The exchange part is easy.  There are several.  I think the first was implemented as a bot on IRC.

The hard part is being a clearing house (or an exchange plus a clearing house).  This is also the most useful part.

It seems Morpheus is working on this already, not only open source but p2p. https://github.com/macourtney/Dark-Exchange

It doesn't run yet and I've no idea how it works but I'm very much looking forward to it.
