I'm still not sure how the SEC isn't involved in what looks like an unregistered offering to "unqualified" investors.

I mean I applaud the effort, having looked into doing something similar, including exploring a Small Company Offering Registration (SCOR).  ESPECIALLY since your documentation explicitly makes promises of paying dividends.

You either have a really good crypto-savvy lawyer or you're just flying under the radar.

Either way I hope you succeed!  Nothing like having your "crowd-sourced equity raise" be considered a precedent case for others to leverage.

Karmashares LLC is the operating entity of Karmacoin, the Bitcoin and Litecoin-like digital currency that is based on "doing good". It is currently forming in the state of Wyoming, USA, for purposes of creating long term value for holders of Karmacoin by developing revenue-generating products and services.

Qualifiying holders of Karmacoin will receive a share of Karmashares profits. 100% of profits will be distributed to members on a quarterly basis according to each member's percentage owned of Karmashares LLC.

In accordance with Karmacoin's core principle of "doing good", we will make it easy for members to give a percentage of their earnings to a cause of their choice in the Karma Fund, as well as make it easy for both users and members to donate Karma and other types of currencies. Each member or user will be able to donate as little or as much as they choose, or opt out entirely.


Karmashares is unique because it is the first cryptocurrency to offer the proof-of-coin (PoC) model. PoC enables us to offer users a stake in a for-profit company while growing our economy and raising capital to further our growth, with no need to interfere with the coin's algorithm or functionality.

As not everyone who owns Karmacoin will participate in Karmashares there will be a large portion of unclaimed profits. Of course, we cannot force users to take our money but we will be distributing 100% of quarterly profits to members. This means that a small portion of our users will receive the profits that another user has not claimed (because they did not participate).

If a user exchanges 100,000,000 coins for points they may receive, for example, 0.57% ownership of Karmashares. However, if only 10% of the company has been claimed (because 90% of Karmacoin users chose not to participate) that means the user could receive about 5% or more of quarterly profits (instead of 0.57%).

Because of this simple fact, with PoC your share of profits will always be greater than the percentage of the company you own. You'll get an even greater percent during the Quantum periods (with 10x, 5x, and 2.5x multiples).

If Karmashares made $35,000 in profits for the quarter his $200 investment (from having bought and exchanged 100MM coins) would turn into a dividend of $1,750.00 for the quarter. This doesn't include of course every other quarter and the value of his share of the company. So his $200 investment could turn into a lifetime income for as long as Karmashares exists. And if, for example, Microsoft buys Karmashares in future for $75 million, his share would be about $4,027,500 if the claims are the same.

Of course, this isn't investment advice. You should never invest more than you'd care to lose. But this does demonstrate the power of PoC. And Karmashares is the first to implement it.

I invested in KarmasharesLLC, about 2500$ because I know how far it can goes with our business plans.
As I now it is NOT a scam, I will push this company to skies with Karma Team and our community.

Just wondering what peoples opinion on Karmacoin's POC and the Karmashare idea??

I want to invest because it seems like a great innovation, but still feel as though I dont know enough about it. That being said I dont want to make a bad investment, especially when I could just sell them on an exchange for profit at the moment.
