What would be the motivation for the acquiring company to take on a crapload of debt/liabilities instead of just writing their own exchange and starting new?

They are just rebranding the company to "Gox" and pushing it as an acquire. New board and management of course so if they can clean up the image, they may have a solid thing going in the future.
