Securities are a serious thing.  Ethereum has been having legal problems as it's based in Ontario (IIRC) and they have very strict laws when it comes to securities, crowd funding, et al.

The law is such is that coin developers have to remain anonymous, unless it's Ripple style premine. No legal issues in selling magical coins but the law comes down hard when it resembles securities and funding.

Doesn't matter what the fine print says, NEM took payment and will deliver tokens. If a securities regulator used a common sense approach they would *probably* argue that NEM had an IPO.

When a business displays a sign like 'all care taken but no responsibility accepted' it is meaningless. If the law says you are responsible, that's the law, and displaying a sign that says otherwise wont save you in a court of law.

Are you familiar with Howey test? If bitshare/ mastercoin people are fine, I have a hard time to see any issue with UF's approach. He probably knows more about what he was doing than most people do.

After talking to gimre, it looks like NXT AE NEMstake will be in NEMESIS after all.

Buy with confidence. Being in at NEMESIS will give you slightly more harvesting power at the beginning (but don't worry, it will even out once the NEM economy matures a bit).

Are buyers of nemstake (bignem) included in the nemesis block ? I read about two weeks delays for those.

Yes, there is a 2 week delay after genesis, so that we can handle the logistics of distributing NEMstake.


Correction: most likely buyers of nemstakes on nxt ae WILL be included in nemesis (that's still being discussed)

yes there was a vanity address generator a few pages back but it was down due to a bug. Does anyone know if its going to be back up soon?

I think NEM should focus on the future, it is very bright, and I am a big supporter of NEM Smiley

NEM creation & distribution were 'organic', and many aspects of distribution were designed 'on the run' so there was some confusion over policy & rules at the start, and much effort to track down sockpuppets. It all ended up OK, and as the first to attempt such a distribution, it was an admirable effort.

In retrospect I think asking for any stakeholder payment was a mistake, and I personally think UP is probably relieved to not have the problem of being responsible for an "illegal share issue" now that he has retired.

NEM has more good points than bad points.

No illegal shares. NEM is a voluntary association, not an IPO. People can get their donation to the movement back at any time (unless they cashed out on the NXT AE).

It is more like donation/ fee to join "association" than IPO. I read these in the fundraising page " the fund raising terms are subject to changes upon the discretion of the development team"; "No contractual promise is made to anyone". It is not going to be held as an IPO in any court given these terms because the basis of an IPO is a legal contract to sell something definite.
