This thread is growing fast and if you did answer, sorry for asking again.

1) What is the current shareholders equity in the final merged Co?
2) How much money did the management invest to AMC VMC?
3) Are you  going to publish proper financial reports reflecting the current situation? When?

When the current shareholders swap their shares for AMC (Belize) then if fully taken up, then the current shareholders will own 40% of the merge co.

Management, has invested in the 6 Avalon's, which were purchased in February 2013. These Avalon's are currently producing between 14-6 bitcoins per day.  At the current value of
bitcoins this give them a value @ a 5% capitalization rate of $2,482,000 using 50% of the revenue.  Of course this all depends on the difficulty and the exchange rate for bitcoins.

AMC will be publishing reports before the 15th of July.

Yes, the AMC shares swapped for AM shares get 100% of profits until .0025 is paid per share. Since there are a lot of ppl selling them cheap right now, you can grab some easily! Grin
Oh I picked up over 100k shares when the big wall went up at .0005. I'm pretty satisfied with my position right now. High hopes for Ken and his operation.

Now that makes me sad in a way, cause I thought my holdings were a lot, guess not lol

Two questions:

1. How many shares are already issued for AMC? ie. how many AMC shares already owned by investors?

2. With the new AM structure, where 1:1 swap of shares will take place - how many shares will be left over to release to raise more capital?

My concern here, is what if more $$ is needed to get the new hardware online, but there are no more shares available to issue to raise capital? What is the plan there?



~6 Million shares have been issued.  There will be no more shares to issue, however the contract does allow us to issue more if needed.

If this point has been addressed I haven't seen it: for the first 10M shares that get 100% of the dividends, does that include AMC shares that have exercised the 1:1 swap? This is an important distinction. If not, that seems like a major screwing of the previous IPO investors like myself.

If more $$ needs to be raised, there is an open door left for creating more shares in the case all other options are exausted, so that AM never gets in a deadlock situation unable to move forward.

My understanding is that VMC will just be an internal department of the new AM - essentially the same as a company that has a sales department and a manufacturing department. Keeping this department called VMC allows all the existing contracts with third parties that were signed as VMC to still be valid. Having to go back and redo all of those contracts would delay production IMO
I also think that this is why ken is keeping VMC around.


It was a bit of a bumpy road but I am happy with this current contract.

Im happy with that as the contract, the simpler the better. You could possibly make a public google doc with with the additional stuff (details on the deal with easic, the fast hash series stuff and current mining details etc) later on, but the contract itself is great.

Ok, I'm happy with what I have seen. If anyone wants modifications, now is the time to say. Please be aware that it isn't 'proper' to have long, complex contracts just because 'that's the way they are supposed to be'. It doesn't really benefit anyone other than lawyers, so let's keep it as simple as possible!  Wink If we can wrap this up in fewer words, it benefits all of us.  Smiley
