First of all, you're buying a key not a licence.

That said you're probably in for the free upgrade regardless of your licencing status, according to http://www.reuters.com/article/2015/03/18/us-microsoft-china-idUSKBN0ME06A20150318

Note that Enterprise editions DO NOT get a free upgrade. Neither does Windows RT 8/RT 8.1.

Common sense: "Here, take this $100+ product for only $5" is not legit.

It works in this scenario too. You are not allowed to sell the keys you generate from your MSDN subscriptions.
