Big fan of the Legends Room.  I rent my house on Airbnb. Is the contract a security?  No. If I buy stock in Snapchat today, I don't get to go to a store and get those glasses for free. The only benefit I get is the possible price appreciation of the stock or a dividend. As a Legends Room member, I'm going there to get my booze and lap dances. I go to Vegas a lot and think this will be a cool place to take customers. Country club memberships are often resold but with severe restrictions and controlled pricing. This is an open system and transparent and the owner has control not the club.

How is this offering NOT considered an equity offering? The "membership" can be bought, sold or rented.
I think this would fail the howie test and creat a problem for both the seller and buyer of this "token".
If it quacks like a duck and walks like a duck, then it is a duck - equity.

It is actually just access and as the memberships price after purchase from the club has no bearing on the club itself it is not equity. A member can choose to give the membership away if they wanted. Price is set by them not on the success of the club. Legal has been through this.

The Legends Room will accommodate any member. If the situation happens that the club is full the club will make arrangements for those members. They will not be disappointed.

my question is how does venue potentially fit 3000 members+guests on a 'hot' night.
assuming every member will always want to rent his membership out on the hottest nights - how do you accommodate that many VIPs in the area.
With thousands of memberships up for rent - what kind of premium/$ could one expect to earn?
Would it cause VIP members to essentially go into price wars to get their 'membership' rented out on X date?

So the venue can hold up to 600 in the Legends Room at one time and the entire club 1500-1800. Just as most clubs not all members will be there every night. The club also has reciprocal clubs that Members will have access to as well. There will be an announcement about this in the coming days.

But what about if their are more members coming to visit the club and did not find the space then what are the alternative arrangement is their in the club, This i am asking because you have also set the rent the member option so in this way if their is any good event where you expect the viewers more then unexpected arrangements. because in coming days the club will get more exposure then you will have to expand the club. So any arrangement is done or it is on project

this is kinda what i was getting at.  absolutely, i dont expect all members to be there every night...but on a SUPER BIG night i expect all 'memberships' to be used either by original members or by renters - in that case, you may expect 3,000 memberships coming through on those big nights correct?  also, giving us an estimated projection on rental prices would give potential members a better idea on cost recovery.

There are a lot of institutional money that will be runned through as it gets transferred from Fiat to ETH. It is only in the Pre Sale right now and there will be a better idea of where the sales are when the actual sale starts.



Also the club is happening with or without a big raise and memberships will be available just not at the price it is now or with all the included extras. All token purchasers are completely safe and if something were to happen and it didn't go through all money would be returned.

I don't think they will ruin their reputation,they have an offline business,and in a business where they want to establish trust and confidence in their business,only ico with no proven track records and business to offer are likely to run with investors money.

Hey all...we have asked Bittrex to indicate on their page that we will give a full refund to anyone who is not happy or satisfied with the Legends Room.  If you get there and it wasn't exactly as we described, we will issue you an immediate refund on the spot with no questions asked. We have had a great response to the Topless Vegas article and sold memberships won't  show up on the smart contract until the end since these guys are cash or credit card customers and we have to convert internally for them. Now go train muay thai and I'll see you at the Legends Room very soon.
